Anthropic officially files for public debut

After weeks of S-1 leaks, Anthropic finally filed for an initial public offering on Monday, setting the stage for one of the most high-profile public debuts in modern U.S. history.

Anthropic, which plans to go public under the ticker ANT, had sales of $16.3 billion in the first half of 2026, up from $1.2 billion in the same period last year, according to the company’s latest SEC filing.

The gain was driven by an operating loss of $693 million, an improvement from the $2.1 billion operating loss Anthropic recorded in the first half of 2025. However, Anthropic’s net loss amounted to $80.7 billion, primarily due to non-cash accounting adjustments related to convertible debt. The company said it “may not be able to achieve or maintain profitability in the future.”

The filing also provided further clarity about the size of Anthropic’s enterprise business. As of the end of September, Anthropic had more than 11,900 customers spending more than $100,000 annually. 1,900 customers spent over $1 million. Approximately 250 customers have spent more than $10 million.

As previously reported, Anthropic’s governance structure will allow its seven co-founders to maintain executive control once Anthropic goes public. Mr. Dario Amodei, Mr. Daniela Amodei, Mr. Tom Brown, Mr. Jack Clark, Mr. Jared Kaplan, Mr. Sam McCandlish, and Mr. Chistopher Oler will make up “Founder LLC” and will jointly control 50.1% of shareholder voting rights. According to the filing, Anthropic says the move is to maintain its AI safety mission.

The long-term benefit trust, established in 2023 to ensure Anthropic pursues its public interest mission, will have the power to appoint the majority of the company’s board of directors.

This governance structure is controversial because it means that voting rights are not proportional to the economic ownership of the founders, meaning that ordinary shareholders have no real control over companies that build technologies that pose, by their own admission, “catastrophic or existential risks to humanity.”

Anthropic has not yet disclosed the amount raised or the proposed stock price.
